The formula expression is invalid: Formula result is data type (Boolean), incompatible with expected data type (Text).
Here's the formula:
OR(
ISPICKVAL(PRIORVALUE([Account].S_P_Rating__c), "AA"),
ISPICKVAL(PRIORVALUE([Account].S_P_Rating__c), "A"),
ISPICKVAL(PRIORVALUE([Account].S_P_Rating__c), "BBB"),
ISPICKVAL(PRIORVALUE([Account].S_P_Rating__c), "BB"),
ISPICKVAL(PRIORVALUE([Account].S_P_Rating__c), "B"),
ISPICKVAL(PRIORVALUE([Account].S_P_Rating__c), "CCC"),
ISPICKVAL(PRIORVALUE([Account].S_P_Rating__c), "CC"),
ISPICKVAL(PRIORVALUE([Account].S_P_Rating__c), "C"),
ISPICKVAL(PRIORVALUE([Account].S_P_Rating__c), "DDD"),
ISPICKVAL(PRIORVALUE([Account].S_P_Rating__c), "DD"),
ISPICKVAL(PRIORVALUE([Account].S_P_Rating__c), "D"),
NULL)
I've tried a few combinations but get similar error messages. Essentially, if the Prior Value of the field was one of these values, then I want the Process to trigger the Process Action.

Brent, this is one way of doing it but you could always leverage steve mo's example to accomplish and streamline your formula requirement:
