Can someone please explain how I "populate the lookup field with data in all reocrds" so that I can change the lookup field to a Master-Detail.
There are no other Master-Detail relationships on the this object, so that is not the issue.

You already have some records in child object
first create lookup relationship
then if you have records select the lookup for all the records and then you can change the lookup to master detail relationship
