Territory Management 1.0 will need to be disabled and your Customisable Forecasting data would be lost. I recently moved a client to Collaborative Forecasting but his org is pretty new so didnt have much data to lose. We did need to contact the Salesforce Customer Support and they helped us enabling Collaborative Forecasting. But essentially TM1.0 will be disabled and their will be data loss for existing forecasting.
