1. I do not have the account ID or Contact ID - it is simply a long list with names/company names - do I need to add that to be able to match them?
2. what happends to the leads where there is no account to match them to? i.e. a brand new lead where a NEW account needs to be created

With data loader, you can only update with Salesforce ID, I personally like Data Loader as it gives a specific error right away.
With Data Import Wizard, the email you got should have an Error log attached to it.
